Terms of use
These Terms of use (the "Terms") are a legally binding agreement between you and Deeva Payon Global Private Limited ("the Company", "we", "us", "our"), which owns and operates the ERPSoft billing software and the website at erpsoft.cloud (together, "the Service"). By registering, signing in or using the Service in any way you accept these Terms, our Privacy notice and our Refund and cancellation policy. If you do not agree, do not use the Service.
1. Definitions
- Business: the business registered on the Service by you, with its own data, settings and plan.
- Owner: the person who registered the Business. The Owner is the account holder and is responsible for the Business on the Service.
- Staff: a person the Owner adds to the Business with limited rights.
- Business data: everything you enter or generate on the Service, such as items, customers, suppliers, invoices, payments, stock and reports.
- Plan: a paid subscription to the Service (Monthly, Quarterly, Half-yearly or Yearly), as shown on the Pricing page and inside the Service.
2. Who may use the Service
You must be at least 18 years old and able to enter into a binding contract under Indian law. The Service is offered for business use. If you register on behalf of a company, firm, trust or other entity, you confirm that you are authorised to bind that entity to these Terms, and "you" includes that entity.
3. Your account
- Give true, accurate and complete details when you register and keep them up to date. We verify your email address (and, where offered, your mobile number) with a one-time code.
- You are responsible for everything done through your account and the accounts of your Staff. Keep your password private, never share a one-time code with anyone, and tell us at once at support@erpsoft.cloud if you believe your account has been used without your permission.
- The Owner decides what each Staff member may open. The Owner remains responsible for what Staff do on the Service.
- One person may not hold more than one account for the same Business, and accounts may not be created by automated means.
4. Plans, free trial and payment
- Every new Business may start a free trial of a Plan for the number of days shown when the Plan is chosen (currently 7 days). Nothing is charged during the trial. The trial is offered once per Business.
- At the end of the trial you may continue by paying a token amount (currently Rs 1) for the rest of the first month and approving autopay for your Plan through our payment partner, Cashfree Payments India Private Limited ("Cashfree"), using UPI Autopay or a card. The first-month offer is given once per Business.
- After the first month the full price of your Plan is collected automatically at the start of every billing cycle (every month, three months, six months or year, by the Plan) until you cancel. Prices are shown inclusive of GST. By approving autopay you authorise these collections.
- You may cancel autopay at any time from Plan and billing inside the Service. The Service stays open until the end of the period already paid for. The Refund and cancellation policy explains what is refundable.
- If a collection fails, we give you a short grace period, after which new work on the Service is paused until a payment is made. Your Business data is not deleted because of a failed payment.
- We may change Plan prices or what a Plan includes. A price change applies to you only from your next billing cycle after we have told you by email or inside the Service at least 15 days in advance. If you do not agree to the new price, cancel autopay before the cycle begins.
- Payments are processed by Cashfree under its own terms. We do not store your card number, UPI PIN or bank credentials.
5. Acceptable use
You agree not to:
- use the Service for anything unlawful, or to issue invoices or documents that are false, misleading or in breach of tax law;
- try to open, copy or interfere with another Business's data, or probe, scan or test the security of the Service without our written permission;
- upload malware, overload the Service, or use bots, scrapers or automated scripts against it;
- resell, sub-license, rent or lend the Service, or use it to build a competing product, without a written agreement with us;
- remove or hide any notice of ownership on the Service;
- send spam or unsolicited messages through any sharing feature of the Service.
We may suspend an account that breaks these rules, after notice where that is practical, and without notice where the breach threatens the Service or other users.
6. Your Business data
- Your Business data belongs to you. You give us a limited licence to host, process, back up and display it only in order to provide the Service to you.
- You are responsible for the accuracy and legality of your Business data, including the tax details, HSN and SAC codes, rates and party details on the documents you issue, and for the data of your own customers that you enter on the Service.
- You can export your Business data at any time from the Service (lists, registers and reports can be downloaded as CSV; documents can be printed or saved as PDF).
- After your account is closed we keep your Business data for 90 days so that you can ask for an export, after which it may be deleted from our systems. Copies in routine backups are deleted on their own cycle.
- We look at your Business data only to provide support you have asked for, to keep the Service secure, to meet a legal duty, or in anonymised, aggregated form to improve the Service.
7. Tax, accounting and compliance
ERPSoft is a tool that helps you prepare invoices, keep records and produce reports and summaries. It is not a tax adviser, chartered accountant or filing service. You remain responsible for your own returns, filings, e-invoices and e-way bills, and for checking every figure before you rely on it or file it. GST features depend on the registration details you provide, and on the formats published by the GST portal, which may change. Nothing on the Service is legal, tax or accounting advice.
8. Our software and content
The Service, including its software, design, text, pictures, trademarks and the name ERPSoft, belongs to the Company or its licensors and is protected by copyright and trademark law. These Terms give you a non-exclusive, non-transferable right to use the Service for your Business for as long as you follow them. They do not transfer any ownership to you.
9. Availability, changes and support
- We work to keep the Service available at all times, but we do not promise uninterrupted access. We may take the Service down for maintenance, upgrades or security work, and will try to do so at low-traffic times with notice inside the Service where possible.
- We may add, change or withdraw features. We will not remove a feature that is central to a paid Plan during a paid period without offering a fair alternative or a pro-rata refund.
- Support is given by email at support@erpsoft.cloud and through the Help centre on the website. We do not promise a response time, but we aim to answer within two working days.
10. Third-party services
The Service connects to third parties to work: payment processing (Cashfree), email, SMS and WhatsApp delivery of codes and documents, hosting, and optionally an automated classification service that reads only the trade description you type during registration. These parties act under their own terms and privacy policies. We choose them with care but are not responsible for their acts or omissions beyond what the law requires.
11. Suspension and termination
- You may close your account at any time by cancelling autopay and writing to us at support@erpsoft.cloud.
- We may suspend or end your access if you break these Terms, if a payment remains unpaid after the grace period, if we are required to by law, or if we stop offering the Service. Where we stop offering the Service we will give at least 30 days' notice and refund any unused, prepaid part of your Plan.
- Sections 6, 7, 8, 12, 13, 14 and 15 continue to apply after your account is closed.
12. Warranties and disclaimer
The Service is provided "as is" and "as available". To the extent the law allows, we make no promise that the Service will be error-free, that figures will always be correct, or that it will meet every requirement of your business. You should check important documents and reports before you rely on them, and keep your own copies of data that matters to you.
13. Limitation of liability
To the extent permitted by law:
- we are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill or data, arising from your use of or inability to use the Service, even if we were told it was possible;
- our total liability to you for all claims arising out of the Service in any twelve-month period is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim;
- nothing in these Terms limits liability that cannot be limited under Indian law, including liability for fraud.
14. Indemnity
You agree to indemnify the Company, its directors, employees and partners against claims, losses and costs (including reasonable legal fees) arising from your breach of these Terms, from your Business data, or from documents you issue through the Service.
15. Governing law and disputes
These Terms are governed by the laws of India. If a dispute arises, write to us first at support@erpsoft.cloud and we will try in good faith to resolve it within 30 days. A dispute that is not resolved that way is subject to the exclusive jurisdiction of the courts having jurisdiction over the registered office of the Company in India. Nothing here limits any right you have under the Consumer Protection Act, 2019, where it applies.
16. Changes to these Terms
We may update these Terms from time to time. The version number at the top changes with every update, and the new version is shown to you when you next register or, for material changes, inside the Service or by email. Continuing to use the Service after a change means you accept the updated Terms.
17. General
- If any part of these Terms is found to be unenforceable, the rest continues to apply.
- Our failure to enforce a right is not a waiver of that right.
- You may not transfer your rights under these Terms without our written consent. We may transfer ours to a successor of the business.
- These Terms, the Privacy notice and the Refund and cancellation policy are the whole agreement between you and us about the Service.
